These Terms of Use govern access to and use of SproutHelm websites, demos, widgets, dashboards, and related services. By using SproutHelm, you agree to these Terms.
1. About SproutHelm
SproutHelm provides software for home-care agencies, including an embeddable website widget that lets families browse caregiver profiles and start conversations with an agency. SproutHelm is not a home-care agency, medical provider, emergency service, employment agency, or caregiver registry.
2. Who may use SproutHelm
You may use SproutHelm only if you can form a binding contract and comply with these Terms. If you use SproutHelm on behalf of an agency or organization, you represent that you have authority to bind that organization to these Terms.
3. Agency responsibilities
Agencies using SproutHelm are responsible for their own operations, caregiver relationships, staffing decisions, client intake, care delivery, licensing, compliance, and communications with families. Agencies are also responsible for the accuracy and legality of content they provide or publish through SproutHelm, including caregiver profiles, photos, service descriptions, and claims.
- Do not upload caregiver information unless you have the rights and permissions needed to use it.
- Do not represent availability, qualifications, certifications, or services in a misleading way.
- Monitor and respond to family inquiries in a timely and professional manner.
- Maintain your own privacy notices and legal obligations for your website, clients, caregivers, and prospects.
4. Families, visitors, and widget users
SproutHelm-powered widgets are a way to start a conversation with an agency. They do not guarantee caregiver availability, eligibility, pricing, response time, service coverage, or care outcomes. Information shown in a widget may be provided by the agency and should be confirmed directly with that agency before making decisions.
5. No medical advice or emergency use
SproutHelm does not provide medical, clinical, legal, staffing, or emergency advice. Do not use SproutHelm for urgent care needs, emergency requests, or time-sensitive medical situations. In an emergency, call emergency services. For urgent agency-specific needs, contact the agency directly using its published phone number or emergency contact process.
6. Acceptable use
You agree not to misuse SproutHelm or help anyone else misuse it. Prohibited uses include:
- Violating laws, regulations, third-party rights, or agency policies.
- Submitting false, misleading, abusive, harassing, discriminatory, or unlawful content.
- Attempting to access accounts, systems, data, or services without authorization.
- Interfering with security, availability, performance, or integrity of SproutHelm.
- Uploading malware, scraping without permission, reverse engineering, or bypassing technical limits.
- Using SproutHelm to send spam or unsolicited communications.
7. Accounts and security
Agency users are responsible for maintaining the confidentiality of account credentials and for activity under their accounts. Notify SproutHelm promptly if you believe an account has been compromised.
8. Content and licenses
You retain ownership of content you submit to SproutHelm. You grant SproutHelm a limited license to host, process, transmit, display, and use that content as needed to provide, secure, support, and improve the services. SproutHelm owns its software, designs, branding, documentation, and related intellectual property.
9. Third-party services and agency websites
SproutHelm may link to or integrate with third-party services and agency websites. SproutHelm is not responsible for third-party content, policies, or practices. Your use of third-party services may be governed by separate terms.
10. Paid services
Some SproutHelm features may be offered on a paid basis or under a separate order form, subscription, statement of work, or service agreement. If there is a conflict between these Terms and a signed agreement with SproutHelm, the signed agreement controls for the covered services.
11. Disclaimers
SproutHelm is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, SproutHelm disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and accuracy of agency-provided content.
12. Limitation of liability
To the maximum extent permitted by law, SproutHelm will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities. SproutHelm’s total liability for claims relating to the services will be limited to the amount paid to SproutHelm for the services giving rise to the claim during the three months before the claim, or one hundred dollars if no amount was paid.
13. Indemnification
If you use SproutHelm on behalf of an agency or organization, you agree to defend and indemnify SproutHelm from claims arising out of your content, your use of SproutHelm, your agency’s operations, or your violation of these Terms or applicable law.
14. Suspension and termination
We may suspend or terminate access to SproutHelm if we believe use of the services violates these Terms, creates risk, harms other users, or may expose SproutHelm or others to liability. You may stop using SproutHelm at any time.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and may provide additional notice where appropriate. Continued use of SproutHelm after changes become effective means you accept the updated Terms.
